1. Purpose
These terms of use ("TOU") govern access to and use of the website at https://shop.tranzition.fr (the "Site"), published by the company tranZition.
The Site is an online store enabling business professionals to discover, trial and purchase software extensions developed by tranZition for applications published by Zoho Corporation Pvt. Ltd. ("Zoho"), including Zoho CRM and Zoho Books (the "Extensions").
The terms governing the purchase and use of the Extensions themselves are set out in the Terms of Sale ("ToS"), accessible on the Site and accepted separately when placing an order.
By browsing or using the Site, you fully accept these TOU. If you do not accept these TOU, you must immediately stop using the Site.

3. Definitions
Capitalised terms have the following meaning:
- "User": any natural person acting on behalf of a legal entity (business professional) who accesses the Site, with or without creating an Account.
- "Account": a personal space created by the User on the Site, allowing them to place orders, manage Licences and view invoices.
- "Content": all elements published on the Site by tranZition (text, visuals, brand assets, product descriptions, documentation, FAQ, articles, videos, etc.).
- "Extension": software developed by tranZition that is installed within a client's Zoho environment, as described on the Site.
- "Licence": the right to use an Extension, granted under the conditions set out in the ToS.
4. Access to the Site
4.1. Access Conditions
Access to the Site is reserved for business professionals (companies, sole traders, freelancers, etc.) acting in the course of their professional activity. The Site is not intended for consumers within the meaning of the French Consumer Code.
The Site is accessible 24/7, subject to interruptions for maintenance, updates or force majeure. tranZition does not guarantee uninterrupted access to the Site.
4.2. User Account
Browsing the Site is free. However, ordering an Extension requires creating an Account.
When creating an Account, the User agrees to:
- provide accurate, complete and up-to-date information, including the company name, SIREN/SIRET number or equivalent, business address and a valid email address;
- maintain the confidentiality of their login credentials;
- notify tranZition without delay of any unauthorised use of their Account.
The User is solely responsible for all actions carried out from their Account. tranZition cannot be held liable for the consequences of fraudulent use of the Account resulting from the User's lack of vigilance.
4.3. Account Suspension or Deletion
tranZition reserves the right to suspend or delete, without prior notice or compensation, any Account:
- containing manifestly inaccurate or incomplete information;
- used in violation of these TOU or the ToS;
- inactive for more than twenty-four (24) months.
Suspension or deletion of the Account does not affect Licences currently in force, which remain governed by the applicable ToS.
5. User Obligations
The User agrees to use the Site in good faith and in accordance with its intended purpose. The User shall refrain from:
- interfering with the proper functioning of the Site, attempting to circumvent its security measures or introducing malicious elements (viruses, spyware, etc.);
- accessing or attempting to access unauthorised areas of the Site;
- engaging in automated data extraction (scraping), reproducing or republishing all or part of the Content without prior written authorisation;
- impersonating a third party when creating an Account or ordering an Extension;
- using the Extensions or the Site for purposes contrary to law, third-party rights or public order.
Any breach may result in immediate Account suspension, cancellation of pending orders and, where applicable, legal proceedings.
6. Intellectual Property
6.1. Site Content
All elements making up the Site (structure, design, source code, text, visuals, logos, trademarks, databases, documentation, etc.) are the exclusive property of tranZition or its partners, and are protected by French and international intellectual property law.
Any reproduction, representation, modification, adaptation, translation, distribution, marketing or exploitation, in whole or in part, by any means and on any medium, is strictly prohibited without the prior written authorisation of tranZition.
6.2. Trademarks
The trademarks, logos and distinctive signs reproduced on the Site, whether belonging to tranZition, Zoho or third parties, are protected. Their reproduction or use without authorisation constitutes infringement.
6.3. Extension Ownership
The intellectual property of the Extensions is governed by the ToS. Nothing in these TOU transfers any rights in the Extensions.
7. Personal Data and Cookies
The processing of personal data collected via the Site (browsing, Account creation, orders) is described in the Privacy Policy, which forms an integral part of these TOU.
The use of cookies and trackers is governed by the Cookie Policy.
8. Liability
8.1. Content
tranZition endeavours to provide accurate and up-to-date information on the Site. However, Extension descriptions, comparisons, documentation and articles are published for informational purposes only and are not contractually binding, unless expressly stated otherwise. Only the ToS, the commercial description validated at the time of ordering and the technical documentation of the Extension purchased are binding on tranZition.
tranZition cannot be held liable for the consequences of any errors, omissions or obsolescence in the published Content, subject to mandatory legal provisions.
8.2. Availability
The Site is provided "as is". tranZition does not guarantee permanent availability of the Site and reserves the right to suspend or modify access at any time, in particular for maintenance, security or technical development reasons.
8.3. External Links
The Site may contain links to third-party websites (including Zoho, partner documentation, social networks). tranZition exercises no control over the content of these sites and disclaims all liability regarding their content, operation or the practices of their publishers.
8.4. Limitation
To the fullest extent permitted by law, tranZition's liability under these TOU may only be incurred in the event of direct and certain damage, to the exclusion of any indirect or immaterial damage (loss of data, revenue, customers, reputation, etc.).
9. Amendments to the TOU
tranZition reserves the right to amend these TOU at any time. The applicable version is the one in force at the date of access to the Site. Any use following the publication of a new version constitutes acceptance thereof.
Users with an active Account are notified by email of substantial amendments at least fifteen (15) days before they take effect.
10. Miscellaneous
Severability. If any provision of these TOU is declared null, unenforceable or inapplicable, such nullity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
No waiver. The failure of tranZition to enforce any provision of these TOU at any given time shall not constitute a waiver of the right to enforce it subsequently.
Entire agreement. These TOU, together with the ToS, the Privacy Policy and the Cookie Policy, constitute the entire agreement between the parties regarding the use of the Site.
11. Governing Law and Jurisdiction
These TOU are governed by French law.
In the absence of amicable resolution, any dispute relating to the validity, interpretation or performance of these TOU shall fall under the exclusive jurisdiction of the courts within the jurisdiction of the Paris Court of Appeal, including in the event of multiple defendants, warranty claims or emergency proceedings.
This document is an English-language translation provided for convenience. In the event of any discrepancy between this translation and the French version, the French version shall prevail.
