Terms of Sale — tranZition Extensions for Zoho

1. Purpose
These terms of sale ("ToS") govern the marketing, provision and use of software extensions developed by the company tranZition for applications published by Zoho Corporation Pvt. Ltd. ("Zoho"), including Zoho CRM and Zoho Books (the "Extensions"), ordered from the website https://shop.tranzition.fr (the "Site").
The Extensions are marketed exclusively to business clients. These ToS do not apply to consumers within the meaning of the French Consumer Code.
Any order for an Extension constitutes unconditional acceptance of these ToS by the Client. These ToS prevail over any purchasing conditions of the Client, regardless of their form.

3. Definitions
The following terms have the meaning set out below, whether used in singular or plural:
- "Client": any legal entity or professional placing an order for an Extension via the Site and having accepted these ToS.
- "Account": the Client's personal space on the Site.
- "Activation Code": a unique alphanumeric key provided to the Client to activate a Licence on a Zoho Org. The Extension only works if a valid Activation Code is active.
- "Documentation": all technical and functional information relating to an Extension (product sheet, installation guide, user guide, FAQ), available on the Site and/or provided at the time of ordering.
- "Extension": standard software developed by tranZition, intended to be installed and used within the Client's Zoho environment, as described in the Documentation.
- "Licence": the right to use an Extension, non-exclusive, non-transferable and non-sublicensable, granted to the Client under these ToS.
- "Zoho Org": the Client's Zoho organisation (or "tenant"), identified by its unique identifier, within which the Extension is installed and activated.
- "Trial Period": a period of seven (7) consecutive days during which the Client may use an Extension free of charge, without commitment or payment method registration.
- "Subscription": a paid subscription to a Licence, on a monthly or annual basis, as chosen by the Client at the time of ordering.
- "User": any person (employee, agent, contractor) of the Client authorised to use the Extension within the Zoho Org.
4. Description of the Extensions
4.1. Nature
The Extensions are standard software products designed to extend or enhance the functionality of Zoho applications. They are not custom-developed to meet the specific needs of a given Client.
The Client acknowledges having reviewed the Documentation for the relevant Extension prior to ordering and having ensured its suitability for their needs and Zoho environment.
4.2. Prerequisites
Use of an Extension requires:
- an active subscription by the Client to the required Zoho licences covering the relevant application (Zoho CRM, Zoho Books, etc.);
- compliance by the Client with Zoho's terms of use ("Zoho Terms of Service") and any applicable Zoho policy;
- compatibility of the Client's Zoho Org with the technical prerequisites specified in the Documentation.
The Client is solely responsible for subscribing to and maintaining their Zoho licences. tranZition cannot be held liable in the event of unavailability or malfunction resulting from the absence, suspension or termination of the Client's Zoho licences.
4.3. Licence Scope
Unless otherwise stated on the Extension's product sheet, the Licence is granted for one (1) identified Zoho Org at the time of activation. Certain Extensions may, depending on their characteristics, be subject to other scoping criteria (number of Users, data volume, activated modules, etc.) as indicated on their product sheet.
5. Trial Period
5.1. Principle
Unless otherwise stated on the product sheet, each Extension is offered with a free Trial Period of seven (7) consecutive days from the activation of the trial Activation Code on the Client's Zoho Org.
Access to the Trial Period does not require prior registration of a payment method. No charge is made during the Trial Period and no commitment is made at its end.
5.2. Scope
The Trial Period provides access to all features of the Extension, unless a limitation is expressly stated on the product sheet.
5.3. End of the Trial Period
At the end of the Trial Period, the trial Activation Code is automatically revoked. The Extension then ceases to function within the Client's Zoho Org.
To continue using the Extension, the Client must subscribe to a paid Subscription via the Site under the conditions of Article 6. After payment, a new Activation Code is issued.
A Trial Period may only be activated once per Extension and per Zoho Org. tranZition reserves the right to refuse a new Trial Period in the event of manifest abuse.
6. Orders and Subscription
6.1. Ordering Process
Orders are placed online via the Site as follows:
1. selection of the Extension, the Subscription plan (monthly or annual) and, where applicable, declaration of the relevant Zoho Org;
2. Account creation or login;
3. entry of billing information;
4. entry of payment information;
5. express acceptance of these ToS by checkbox;
6. order validation and payment by credit card.
In accordance with Article 1127-1 of the French Civil Code, the Client has the opportunity to review the details of their order and its total price before validation, and to correct any errors.
6.2. Contract Formation
The contract is formed on the date the Client validates the order accompanied by effective payment by credit card.
A confirmation email summarising the order and providing the Activation Code is sent to the Client. tranZition retains contracts entered into via the Site in accordance with legal obligations.
6.3. Order Refusal
tranZition reserves the right to refuse any order:
- from a Client with an outstanding dispute or unpaid amount;
- containing manifestly inaccurate information;
- whose execution would be contrary to these ToS, the Client's Zoho Licence or applicable regulations.
7. Prices and Payment
7.1. Prices
Extension prices are displayed on the Site in euros, excluding taxes. Applicable VAT and any equivalent tax are added at the time of invoicing in accordance with current regulations and the Client's tax regime.
Any VAT increase or new tax imposed after the order will be passed on in subsequent invoices.
7.2. Price Changes
tranZition reserves the right to change its prices. Any price change applicable to a current Subscription is notified to the Client by email at least sixty (60) days before the effective date. If not accepted, the Client may terminate the Subscription under the conditions of Article 9. Continuation of the Subscription beyond the effective date of the new price constitutes acceptance thereof.
7.3. Payment Terms
Payment is made exclusively by credit card via the secure payment platform integrated into the Site.
By validating their order, the Client authorises tranZition to charge:
- the price of the first Subscription period on the date of the order;
- the price of each subsequent period on each anniversary date, as part of the automatic renewal provided for in Article 9, until termination of the Subscription.
Banking data is processed by a PCI-DSS certified payment service provider. tranZition does not have access to full card numbers.
7.4. Invoices
An invoice is issued for each payment and made available to the Client in their Account, in accordance with legal obligations.
7.5. Payment Default
In the event of failed payment or payment default at the due date, tranZition notifies the Client and retries payment according to a defined schedule. After a period of fifteen (15) days from the initial due date without regularisation, tranZition may, as of right and without prior formal notice:
- revoke the Activation Code (the Extension will then cease to function within the Client's Zoho Org);
- terminate the Subscription under the conditions of Article 9.4.
In accordance with Article L.441-10 of the French Commercial Code, any late payment gives rise as of right to late payment interest calculated at three (3) times the legal interest rate in force, as well as a fixed compensation of forty (40) euros for recovery costs, without prejudice to any additional justified compensation.
8. Licence
8.1. Grant
Subject to payment and compliance with these ToS, tranZition grants the Client, for the duration of the Subscription, a Licence that is:
- non-exclusive;
- personal, limited to the Zoho Org declared at activation;
- non-transferable and non-sublicensable;
- valid worldwide for the Client's internal needs.
8.2. Granted Rights
The Licence authorises the Client, for their internal professional needs, to install the Extension in the declared Zoho Org, activate it using the Activation Code and use it in accordance with the Documentation, for the benefit of Users authorised by the Client.
8.3. Restrictions
The Client shall refrain, and shall ensure that its Users refrain, from:
- any reproduction, modification, adaptation, translation, decompilation (except as legally permitted), reverse engineering or disassembly of the Extension;
- any making available, resale, rental, lending, distribution or marketing of the Extension, whether free or for a fee;
- any circumvention, alteration or removal of protection, licence control or identification mechanisms integrated into the Extension;
- any use of the Extension beyond the authorised scope (undeclared Zoho Org, number of Users exceeding the purchased tier, etc.);
- any use contrary to the law, third-party rights or the Client's Zoho Licence.
Any breach constitutes a serious fault that may result in immediate revocation of the Licence and termination of the Subscription under the conditions of Article 9.4, without prejudice to any damages.
8.4. Activation Code
The Activation Code is strictly personal. The Client is solely responsible for its safekeeping and confidentiality. Any use of the Activation Code is deemed to have been made by the Client.
The Activation Code links the Extension to the declared Zoho Org. Transfer to another Zoho Org requires a prior request to tranZition support, which will process the request according to applicable technical procedures.
Without a valid Activation Code, the Extension does not work. Revocation of the Activation Code, whatever the cause (end of Subscription, termination, payment default, breach of these ToS), results in the immediate cessation of the Extension's operation in the relevant Zoho Org.
9. Duration, Renewal and Termination
9.1. Initial Term
The Subscription takes effect on the date the order is validated and payment is made. The initial term corresponds to the plan chosen at the time of ordering: one (1) month or one (1) year.
9.2. Automatic Renewal
At the end of each period, the Subscription is automatically renewed for an identical period (monthly or annual), with automatic charging of the registered credit card, unless terminated by either party as set out below.
For annual Subscriptions, tranZition sends the Client an email at least one (1) month before the renewal date, reminding them of the deadline and termination procedures.
9.3. Termination by the Client
The Client may terminate their Subscription at any time from their Account or by email to the dedicated address, without reason or compensation.
Termination takes effect at the end of the current Subscription period (monthly or annual). The Extension remains fully usable until that date. No refund, in whole or in part, is due for the period in progress.
No renewal will take place at the end of the current period and the Activation Code will be revoked on that date.
9.4. Termination by tranZition
tranZition may terminate the Subscription as of right, by written notification (including by email), without prejudice to any damages:
- in the event of a serious breach by the Client of their obligations (in particular payment, Licence compliance, proper use), not remedied within fifteen (15) days of a formal notice that has remained without effect;
- immediately and without formal notice, in the event of a breach of Article 8.3 (restrictions), Article 12 (intellectual property) or in the event of cessation of activity, liquidation or insolvency proceedings of the Client, within legal limits.
9.5. Effects of Termination
Whatever its cause, termination results in:
- revocation of the Activation Code on the effective date;
- cessation of the Extension's operation in the relevant Zoho Org;
- immediate payability of all sums owed to tranZition at the date of termination.
Data entered or generated by the Client in their Zoho Org via the Extension remains in the Client's Zoho Org and continues to be governed by Zoho's terms. tranZition does not retain this data.
9.6. Changes to the Terms
tranZition may amend these ToS at any time. Amendments are notified to the Client by email at least sixty (60) days before they take effect for current Subscriptions. If not accepted, the Client may terminate their Subscription under Article 9.3; continuation of the Subscription beyond the effective date constitutes acceptance.
10. Updates and Support
10.1. Updates
Corrective and evolutionary updates to the Extension are included in the Subscription for its entire duration. They are deployed automatically or made available according to the technical procedures specific to each Extension and the constraints of the Zoho ecosystem.
tranZition reserves the right to develop the features of an Extension, in particular to adapt it to changes in Zoho applications, provided that such developments do not substantially reduce the essential features as described in the Documentation in force on the date of ordering.
10.2. Support
tranZition provides technical support throughout the duration of the Subscription, accessible by email during French business hours (Monday to Friday, excluding public holidays).
tranZition endeavours to respond to any request within an indicative period of seventy-two (72) business hours from receipt. This period is given as an indication only and does not constitute an obligation of result or a binding service level agreement (SLA).
Support covers:
- assistance with installation, activation and nominal use of the Extension;
- processing of reproducible anomalies attributable to the Extension, under the conditions of Article 11;
- answering functional questions relating to the Extension.
Support does not cover:
- assistance relating to Zoho applications themselves (covered by Zoho support);
- configuration or custom development of the Client's Zoho Org;
- training in the use of Zoho applications;
- requests resulting from non-compliant use of the Extension or a Client Zoho environment that does not meet the prerequisites.
These excluded services may be the subject of a specific quote from tranZition.
11. Warranties
11.1. Conformity Warranty
tranZition warrants that the Extensions comply, in their essential features, with the Documentation in force on the date of ordering, within the framework of compliant use by the Client.
tranZition will correct reproducible anomalies reported by the Client affecting this conformity, within reasonable timeframes and according to technical priorities.
11.2. Exclusions
No warranty is given in the following cases:
- use of the Extension not in accordance with the Documentation, these ToS or the Client's Zoho Licence;
- modification, alteration or interfacing of the Extension by the Client or a third party not authorised by tranZition;
- incompatibility resulting from changes to Zoho applications beyond tranZition's control, in which case tranZition will nevertheless endeavour to adapt the Extension within reasonable timeframes;
- unavailability or malfunction of the underlying Zoho applications, which fall under Zoho's commitments;
- Client Zoho environment not meeting the prerequisites.
11.3. Best Efforts
Subject to mandatory provisions, tranZition's obligations under these ToS are obligations of best efforts. The Extensions are provided "as is" as regards their suitability for any particular purpose not expressly documented.
12. Intellectual Property
12.1. Extension Ownership
The Extensions, their source and object code, their Documentation, their visuals, trademarks and all associated elements remain the exclusive property of tranZition. These ToS only grant a Licence to use under the conditions of Article 8, to the exclusion of any transfer of intellectual property rights.
12.2. Client Data
Data entered by the Client in their Zoho Org and processed via the Extension remains the property of the Client. tranZition claims no rights over this data.
12.3. Commercial References
Unless the Client objects in writing, tranZition is authorised to cite the Client's name and brand as a commercial reference (website, marketing materials, communications) during the term of the Subscription and for two (2) years from its end.
12.4. Feedback and Suggestions
Any suggestion, idea, feedback or proposal for development sent by the Client to tranZition may be freely used by tranZition to develop the Extensions, without consideration or restriction.
13. Personal Data
13.1. Processing Related to the Commercial Relationship
In the context of Account management, ordering, invoicing and support, tranZition processes personal data relating to the Client's contacts (surname, first name, position, professional email, professional telephone) as data controller.
These processing activities are described in the Privacy Policy, in accordance with Regulation (EU) 2016/679 ("GDPR") and French Law No. 78-17 of 6 January 1978, as amended.
13.2. Processing via the Extension
Extensions run within the Client's Zoho Org. Data processed by the Client via Zoho (data on their own clients, prospects, employees, suppliers, etc.) remains hosted and processed within the Zoho environment, under the responsibility of the Client as data controller.
tranZition does not, at the date of these ToS, host personal data of the Client outside the Client's Zoho Org in connection with the operation of the Extensions.
Depending on the characteristics of a given Extension, tranZition may act as a processor within the meaning of Article 28 of the GDPR for limited and documented processing (for example: sending technical logs for support purposes, one-off data processing for the execution of a feature). In such a case, a GDPR Data Processing Agreement ("DPA") will be made available to the Client on the product sheet of the relevant Extension, defining the nature, purpose, duration and terms of the processing.
13.3. Evolution
The Client is informed that certain future Extensions may include data hosting by tranZition or its subsequent processors, in which case the applicable product sheet and DPA will specify the corresponding terms.
13.4. Client Obligations
The Client warrants that they have:
- obtained the rights and consents required from data subjects for the processing of their data in connection with their use of Zoho and the Extensions;
- complied with their own obligations as data controller (information, exercise of rights, records, impact assessment where applicable, etc.);
- informed tranZition without delay of any request from a supervisory authority or data subject involving an Extension.
14. Confidentiality
Each party undertakes to maintain the confidentiality of any non-public information of the other party that it may become aware of in connection with these ToS, for the entire duration of the contract and for five (5) years from its end.
This obligation does not extend to information that is public, legitimately received from third parties not bound by secrecy, or whose disclosure is required by law or a court order.
15. Liability
15.1. tranZition's Liability
tranZition is only liable for direct and certain damage resulting from a breach of its contractual obligations, to the exclusion of any indirect or immaterial damage suffered by the Client or third parties, such as loss of data, revenue, margin, customers, business, opportunity, damage to image or trade name.
Subject to mandatory legal provisions, tranZition's total liability to the Client, for all causes and all damages combined, is capped at the total amount excluding taxes actually paid by the Client to tranZition for the relevant Subscription during the twelve (12) months preceding the event giving rise to the claim.
In accordance with Article 2254 of the French Civil Code, any action relating to the contract must be brought within one (1) year from the occurrence of the event giving rise to the claim, on pain of being time-barred.
15.2. Zoho's Liability
Zoho applications and their terms of use are part of the direct relationship between the Client and Zoho. Any claim relating to the availability, performance or operation of the Zoho applications themselves must be addressed directly to Zoho in accordance with its terms.
tranZition cannot be held liable for:
- malfunctions, unavailability or data loss attributable to Zoho applications;
- unilateral changes to Zoho applications or their APIs that may affect the operation of an Extension, subject to Article 10.1;
- breaches by Zoho of its own obligations.
15.3. Client's Liability
The Client is solely responsible for:
- subscribing to and maintaining their Zoho licences;
- the security of their Zoho Org (user account management, strong authentication, password management);
- data entered and processed via the Extension;
- commercial, operational or strategic decisions made on the basis of using the Extension;
- compliance with their obligations under the GDPR and any applicable regulations.
The Client is advised to implement, at a minimum, the following measures:
- activation of two-factor authentication for all Zoho Users;
- a strong password policy in line with CNIL recommendations;
- regular backups of Zoho data.
15.4. Insurance
Each party declares that it is insured for professional civil liability with a reputable insurer and undertakes to maintain this coverage for the entire duration of the contract.
16. Force Majeure
Neither party shall be held liable for any failure to perform resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code. Affected obligations are suspended for the duration of the force majeure event.
If the force majeure event continues for more than thirty (30) days, either party may terminate the contract as of right, without compensation, by written notice to the other party.
17. Subcontracting and Assignment
17.1. Subcontracting
tranZition may, without the Client's prior authorisation, entrust all or part of the performance of the contract to subcontractors of its choice, tranZition remaining fully liable to the Client. For any subcontracting within the meaning of the GDPR, Article 13 and the applicable DPA apply.
17.2. Assignment
The Client may not assign the contract or all or part of its rights and obligations without the prior written consent of tranZition.
tranZition may freely assign the contract to any company in its group or in the context of a restructuring operation (merger, demerger, partial asset transfer, sale of business or shares), subject to informing the Client.
18. Miscellaneous
No waiver. The failure of either party to enforce any provision of these ToS at any given time shall not constitute a waiver of the right to enforce it subsequently.
Severability. If any provision of these ToS is declared null, unenforceable or inapplicable, such nullity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
Entire agreement. These ToS, together with the product sheet of the Extension purchased, the order confirmation, and where applicable the applicable DPA, constitute the entire agreement between the parties relating to the marketing and use of the Extension.
Independence of the parties. The parties are independent. These ToS do not create between them any relationship of subsidiary, association, agency or partnership.
Notices. Unless otherwise stipulated, any notice between the parties may be validly sent by email to the addresses provided in the Client's Account and to tranZition's contact address.
Non-solicitation. During the term of the contract and for twelve (12) months from its end, the Client shall refrain from soliciting for employment or a service contract any employee of tranZition who has been in contact with them, without prior written consent.
19. Governing Law and Jurisdiction
These ToS are governed by French law.
The parties shall endeavour to resolve any dispute amicably. In the absence of amicable resolution within thirty (30) days of written notification by either party, any dispute relating to the validity, interpretation or performance of these ToS shall fall under the exclusive jurisdiction of the courts within the jurisdiction of the Paris Court of Appeal, including in the event of multiple defendants, warranty claims or emergency proceedings.
This document is an English-language translation provided for convenience. In the event of any discrepancy between this translation and the French version, the French version shall prevail.
